Pleasant Hill Boat Club Constitution

ARTICLE 1 NAME The name of this organization shall be the Pleasant Hill Boat Club, Inc.
ARTICLE 2 OBJECTIVES The organization will:
1. Render a service to small boat and pontoon owners.
2. Promote increased interest in boating.
3. Cooperate as fully as possible with existing sporting and boating associations
ARTICLE 3 ELIGIBILITY
1. Any person of good character, if properly recommended by two members of the CLUB, is eligible for membership.
2. Applications for membership shall be made to the Secretary in writing on the approved form, applicants shall meet the approved membership standards, and the Board of Directors shall receive copies of all applications for review upon request.
3. Any member not conforming to the constitution and by-laws is subject to dismissal by the Board of Directors.
ARTICLE 4 BOARD OF DIRECTORS
1. The management of this boat club shall be vested in a board consisting of nine (9) members of whom no more than three shall be retired in any one year.
2. Five (5) members of the Board and two (2) Club officers shall constitute a quorum.
3. Members are permitted to attend BOARD meetings. Those attending board meetings, other than board members, will be given a specified floor time not to exceed five (5) minutes.
4. In cases of emergency the Commodore and/or the Secretary may poll the Board electronically for approval of expenditures more than $500, and/or other immediate Club business.
ARTICLE 5 OFFICERS
The officers shall consist of a Commodore, Vice Commodore, Treasurer/Secretary.
1. It shall be the duty of the Commodore to preside at all meetings of the Club and the Board of Directors, and to perform such duties as ordinarily pertaining to this office.
2. It shall be the duty of the Vice Commodore, in the absence of the Commodore, to preside at all meeting of the Club and to perform such duties as ordinarily pertain to this office. The Vice Commodore shall perform such duties as assigned to him by the Board of Directors.
3. It shall be the duty of the Treasurer/Secretary to keep accurate records of all business transactions and to receive all monies accruing to the Club, and to deposit all funds as hereinafter prescribed, and to account for same to the Club at its annual meeting and at any other time upon request from the Board of Directors. To perform such duties as ordinarily pertain to the office or as provided for herein, as well as, to send required notices. To attend to correspondence of the Club and to do and perform such acts and duties as ordinarily pertain to this Office or as directed from time to time by the Board of Directors.
4. The Vice Commodore and Secretary/Treasurer are voting members. The Commodore will only vote to break ties.
ARTICLE 6 CONVENTION
1. Regular meetings of the Club shall be held on the call of the Commodore, whenever he shall deem it necessary or whenever requested by two (2) members of the Board, or by ten (10) or more members of the Club. At least twenty-four (24) hours notice shall be given to members of the Club by the Secretary.
2. A quorum consists of a minimum of five (5) members of the Board and two (2) officers of the Club.
3. The Commodore or acting Commodore only casts a vote in the case of a tie.
ARTICLE 7 POLICY
The Constitution and By-Laws of the Club shall always strive to promote the best interest and safety of small boat and pontoon boat owners within this District.
ARTICLE 8 ELECTIONS
1. At the annual election the Club shall elect a Vice Commodore and Secretary/Treasurer, each of whom shall serve for a period of one (1) year and forthwith become members of the Board of Directors upon election. If deemed necessary by the Board of Directors, the Secretary/Treasurer position may be divided into separate Secretary and Treasurer positions.
2. The retiring Vice Commodore to advance to Commodore, the retiring Commodore to become an ex-officio member of the Board of Directors for one (1) year.
3. The Club shall elect three (3) directors each year who shall serve for a period of three (3) years.
4. The Board of Directors may appoint replacements to fill any vacancy for the remainder of the term.

ARTICLE 9 AMENDMENTS
This Constitution may be amended at any meeting of the members or adjourned session thereof, or at a special meeting called for that purpose. The votes of the majority of all the members present shall be necessary, provided that written notice has been electronically mailed to each member at least three (3) days before such a meeting, stating that a proposed amendment will be voted upon at a meeting as designated.
